To retain the services of NSJ Legal Study S.L.P., you must be at least 18 years of age or the age of majority in your jurisdiction. When engaging our services, you agree to provide complete, accurate, and current information and to promptly update all such information. You are solely responsible for maintaining the confidentiality of any passwords or other identifiers assigned by NSJ to you or set by the user. You agree to cooperate fully with NSJ when requested, provide NSJ with documents deemed required, provide your preferences, respond promptly to any request for information from NSJ within deadlines supplied by NSJ, and conform fully to these Terms and Conditions and all applicable laws and regulations.

- Proposal and Engagement: We submit a formal proposal based on the information provided. The proposal contains our general terms and conditions, payment terms, and scope of services. You are required to read, sign, and return the engagement letter or agreement so that we can commence work.
- Services provided: As agreed, we provide services, keep in regular contact, and provide our reports as required.
- Conclusion: When an engagement is completed, final deliverables are given to the client and feedback is requested. NSJ Legal Study S.L.P. determines whether to accept any engagement request and may decline any engagement subject to its review of risk factors.

NSJ Legal Study S.L.P. provides flexible billing options, including hourly fees, flat fees for specified services, and retainer agreements for ongoing advisory work. Fees, billing formats, and payment schedules will all be recorded in your engagement letter or contract. Payment is due upon receipt of invoice unless otherwise confirmed. NSJ Legal Study S.L.P. accepts bank transfer or check by UK or EU bank, as well as other methods expressly confirmed in writing. Late payments may incur administrative fees or late interest fees as confirmed in the original engagement letter and may result in the suspension or termination of services. Costs and disbursements (e.g., filing fees, various court costs, tax stamp duties, third-party payments) will be itemized in each invoice unless otherwise agreed. NSJ Legal Study S.L.P. maintains a transparent individual service policy and will provide itemized details upon request.

Some services may require an upfront deposit or retainer. The amount of the retainer, if any, will be identified in your engagement letter. Retainers are deposited in a client trust account and will be applied to invoices as services are used. At the end of the services, any unused portion of a retainer will be refunded to the client after providing notice of fees and expenses owed that may be deducted before payment. If your retainer is exhausted, additional funds may be requested to continue.

Any information we may receive in connection with our services is treated as confidential and will be used only for this purpose (to provide legal or business advice). NSJ Legal Study S.L.P. (hereinafter “NSJ”) maintains file records and client files in accordance with regulatory privacy limits and our internal retention and destruction policies. Physical or electronic files may be retained for no less than five (5) years after the conclusion of your case unless an extended period is specifically required by law. Upon conclusion of the applicable retention/limitation period, files may be safely destroyed. You are entitled to request copies of your records at any time, and copies will be forwarded subject to applicable copying or administrative fees.

Any engagement you may have with any third-party service provider will be governed by your terms of engagement with that provider. 责任限制
To the maximum extent permitted under applicable law, NSJ Legal Study S.L.P., its partners, employees, and agents are not liable for indirect, incidental, consequential, or punitive damages related to your use of our services or website. Our total liability associated with any claim arising out of or related to our services is subject to a cap of no more than the costs you paid for the specific services performed that led to the claim. The foregoing caps do not exclude liability for fraud, bad faith conduct, willful misconduct, or any other liability that cannot be limited under applicable law.

Either party may terminate this engagement at any time upon written notice to the other. You must pay NSJ Legal Study S.L.P. for all fees and expenses incurred through the effective date of termination. NSJ Legal Study S.L.P. may terminate any engagement if NSJ Legal Study S.L.P. (1) has not been paid for services and expenses, (2) is unable to continue in a conflict of interest situation, (3) is being obstructed or subjected to harassment, (4) is unwilling to participate in any way in unlawful or unethical conduct related to the case, or (5) for other good cause. Following termination, NSJ Legal Study S.L.P. will send you a final bill, if your case has reached that stage, and will, if you have prepaid retainer fees, return any unused portion of the fee.
争议的解决
If any dispute arises out of or in connection with these Terms or our services, the parties agree to attempt to resolve the matter through good-faith negotiation. If they are unable to resolve the matter through negotiation, they may agree to mediation or arbitration in Los Angeles, California, or proceed with litigation. Nothing in this section will be construed as prohibiting either party from seeking injunctive relief or other remedies to which it is entitled in law or in equity.

These Terms of Service and any dispute arising under or relating to these Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any action or proceeding arising out of or relating to these Terms of Service and/or the Service may be brought exclusively in the state or federal courts located in Los Angeles County, California.
分割性
In the event that any provision of these Terms of Service is found to be invalid or unenforceable, such provision shall be enforced to the fullest extent permitted, and the remaining provisions of these Terms will remain in full force and effect. No waiver of any term of these Terms by NSJ Legal Study S.L.P. shall be deemed a further or continuing waiver of such term or any other term, and any failure of NSJ Legal Study S.L.P. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

For these events, we will provide notification to you as soon as reasonably feasible and will make our best efforts to continue services thereafter.

Throughout the duration of this agreement and for a period of twelve (12) months following its conclusion, you agree and promise not to directly or indirectly seek to employ, hire, or otherwise engage any employee or contract worker of NSJ Legal Study S.L.P. without obtaining our prior written approval. This clause aims to safeguard our personnel and maintain the integrity of our professional relationships.

With your consent, NSJ Legal Study S.L.P. may cite your engagement for marketing purposes, including use in anonymous form, to post testimonials or case studies that do not disclose confidential or identifying information. You have no obligation to give a testimonial and may withhold the same. You may withdraw consent at any time by notice in writing to us.
